THE VINTAGE CAR CLUB OF NEW ZEALAND
CANTERBURY BRANCH (INCORPORATED)
1 NAME
The name of the organisation shall be "The Vintage Car Club of
New Zealand Canterbury Branch (Incorporated)".
2 INTERPRETATION
1. "BRANCH" means "THE VINTAGE CAR CLUB OF NEW
ZEALAND, CANTERBURY BRANCH (INCORPORATED)".
2. ''CLUB" means "THE VINTAGE CAR CLUB OF NEW ZEALAND,
(INCORPORATED)".
3. “CLUB MEMBERS" means all categories of members covered by the
Club Rules.
4. "BRANCH MEMBERS" means those Club Members assigned to the
Branch.
5. "EXECUTIVE" means the Executive of the Club.
6. "BRANCH COMMITTEE" means the Committee of the Branch as
defined in these rules.
7. "NOTICES" for the purpose of these Rules and any Regulations
any notice required to be given to any Branch Member hereunder shall be
deemed to be properly given if posted to such Branch Member at his last
known address recorded in the Branch Register.
8. "PROPERTY" means all property both real and personal in
the widest sense of the terms.
9. "VEHICLES" shall mean all vehicles in the categories covered
by the Club Rules.
3 OBJECTS
1. To foster interest in and engage in the preservation, restoration,
maintenance and use of motor vehicles in such categories as are catered
for by the Club from time to time.
2. To obtain and conserve all historical records concerning such vehicles
or concerning any aspects of the early days of motoring in New Zealand.
3. To promote Rallies, Touring Expeditions, Competitions, Trials and
such other events as may be suitable for any of the above categories of
vehicles.
4. To provide facilities to assist Branch Members to obtain and maintain
such vehicles and to this end to assist by providing Branch Members with
such information, literature, tyres, spare parts and other assistance
by such means as the Branch Committee shall from time to time determine.
5. To foster among Branch Members a system of mutual voluntary assistance
for the maintenance and preservation of vehicles.
6. To promote and encourage such meetings, lectures, discussions and
other social functions the Branch Committee shall from time to time determine.
7. To foster road courtesy and safe driving and in
every way to co-operate with Government and local authorises to this end.
8. To promote the importance and value of Historic Vehicles so
that appropriate legislation continues to ensure the free use of such
vehicles on all New Zealand roads.
4 POWERS
The Branch shall have power to do all acts and things necessary for the
furtherance of itsobjects or any of them and in particular may exercise
the following powers and ancillary objects:-
1. The Branch may have suitable headquarters for the use of its
members.
2. The Branch may cultivate reciprocal relations with kindred
institutions in this and other countries.
3. The Branch may purchase, take on lease or otherwise acquire
in the name of the Branch upon such terms as it may think fit, any
real and personal property and any rights and privileges, either necessary
of convenient, for the purpose of the Branch and erect, maintain, improve,
or alter any buildings, premises, or work as it may require.
4. The Branch may borrow or raise money upon mortgage of any of
the real of personal property of the Branch or other obligations or securities
of the Branch.
5. The Branch shall operate Accounts with Savings or Trading Banks
as shall be agreed upon and all monies received on account of the Branch
shall be paid into such Accounts and all payments made by the Branch will
be made by cheque or electronic bankingtransactions on the Branch Bank
Accounts.
6. The Branch may invest and deal with the funds of the Branch
upon such securities or in such manner and upon such terms and conditions
as the Branch may think fit.
7. The Branch may sell, lease, exchange, mortgage, or otherwise
deal with all or any of the real and personal property of the Branch.
8. The Branch may make grants and subsidies in favour of deserving
objects, whether the same are similar to the objects of the Branch or
not.
9. The Branch may subscribe or apply for and take or acquire by
purchase or otherwise and hold shares, debentures or securities in or
promote or become a member of or grant financial assistance to any Company,
Association or Branch, whether incorporated under the Companies' Act or
the Incorporated Societies' Act 1908 or not so incorporated having objects
altogether or in part similar to any of the objects of the Branch having
as one of its objects the publications of newspapers, journals or works
providing news or information of interest to members either of the Club
or Branch.
10. The Branch may enter into contracts, arrangements, undertakings,
or any other forms of agreement with any person, firm, company, or other
body for the purpose of the foregoing objects or any one of them.
5 MEMBERSHIP
1. The membership of the Branch shall consist of the members of the Club
for the time being residing within the boundaries or territory from time
to time assigned by the Executive of the Club to the management of the
Branch and those members allocated to the Branch by the Secretary of the
Club.
2. Any application for membership must be made in writing on the prescribed
form and delivered to the Secretary for approval at the next meeting
in accordance with the Rules of the Club and upon election to membership
of the club the applicant shall become a member of the Branch.
3. There shall be such classes of membership as shall be from time to
time stipulated in the Club Rules.
4. A member of the Branch shall cease to be a member thereof if:-
(a) He/she ceases to be a member of the Club in any manner whatsoever.
(b) He/she is re-assigned by the Executive of the Club to another Branch.
(c) He/she is no longer eligible by the terms of the Club Constitution
Rule 5.5 Discipline.
6 RULES
These rules are in substitution for all previous rules, additions and
amendments thereto, which are hereby rescinded.
Each member on joining the Club and/or assigned to this Branch shall
be entitled to be supplied with a copy of these Rules and members shall
be held to consent to and be bound by the Rules and Regulations.
7 FINANCIAL YEAR
The Branch year shall be deemed to commence on 1st April in each year
and to terminate on 31st March of the following year.
8 MANAGEMENT OF BRANCH
The affairs of the Branch shall be managed by the Branch Committee consisting
of: -
Chairman - The position of Chairman shall be open to any member
of the Committee and any person who has served at least one full term
on the Branch Committee.
Upon retiring the Chairman to serve one year as Past Chairman.
The position of Chairman will refer to male or female persons.
The Chairman shall have a deliberative vote and in the event of an equality
of voting, a casting vote.
In the event of the Chairman not being present the members shall appoint
one of their number to be Chairman of the Meeting.
Two Vice Chairmen - To be elected from the incoming Committee
by the Committee. Namely Senior Vice Chairman and Junior Vice Chairman.
Immediate Past Chairman: Who shall hold office for one year only.
Club Captain, Secretary, Treasurer and an elected member of each
of the MotorcycleSection, Maintenance and Clubrooms Committee and
a representative each from the Swap Meet Committee, the
Parts Committee and the Bar and a Branch Committee of six
members with power to co-opt.
The offices of Secretary and Treasurer may be combined in the
one person and should the Secretary or Treasurer become a salaried appointee
then that appointee shall have no further power to take part in the management
of the affairs of the Branch and one further member shall be elected to
the Committee.
Branch Committee members shall all be financial members of the Branch,
residing within the boundaries or within the territory from time to time
assigned to the management of the Branch by the Club.
A Quorum of the Branch Committee shall consist of not less than fifty
percent of that Committee personally present.
The Branch Committee shall have the entire management of the Branch and
control of its property and funds and it is empowered on behalf of the
Branch to do, execute and carry out all of the matters and things which
the Branch is authorised to do, execute and carry out, but shall so far
as is practicable conduct the affairs of the Branch in accordance with
the Rules of the Club, provided that any financial commitment exceeding
the Branch's Gross Annual Revenue Income for the previous financial year
shall require the approval of a three-fourths majority of financial members
of the Branch present personally and voting at any General Meeting of
the Branch called for such purpose and of which specific notice in writing
has been given to the members.
A member of the Branch shall be able to attend any Branch Committee Meetings
but shall not have speaking or voting rights.
A member of the Branch shall upon written notice to the Secretary be
able at the Secretary's discretion to research the Minute Books of the
Branch.
The Committee shall have the power to co-opt members to fill vacancies
occurring during the year of office.
9 ELECTION OF BRANCH COMMITTEE
The election of members of the Branch Committee shall be carried out
by secret ballot at each Annual General Meeting of the Branch and those
members shall respectively hold office until the next succeeding Annual
general Meeting when they shall retire but be eligible for re-election.
Any financial member of the Branch unable to attend may appoint a proxy
to vote at such ballot on his/her behalf by notifying the Branch Secretary
in writing two clear days before the Meeting. A proxy must be a member
of the Branch. A proxy may represent one member only.
Not less than forty two clear days before the Annual General Meeting,
the Branch Committee shall cause notice of that meeting to be given to
all Branch members and shall invite nominations for the positions of Branch
Offices and Committee Members to be forwarded in writing to the Branch
Secretary, to arrive not less than twenty eight clear days before the
day appointed for the Annual General Meeting. Each such nomination to
be signed by the person nominated that they are willing to serve in such
capacity. Each such nomination shall require to be proposed and seconded
by Branch members and shall bear the signature of the proposer and seconder.
Any candidate may accept nomination for more than one position but may
only occupy one position. Voting for Offices and Committee be separate
and in order as listed in Rule 8.
In the event of there being insufficient written nominations the Chairman
may call for nominations from the floor of the meeting.
10 GENERAL MEETING
The Annual General Meeting of the Branch shall be held during the month
of June each year. Special General Meetings may be held at such
time and place as the Chairman or Branch Committee may decide. At all
General or Special Meetings of the Branch, ten percent of the financial
members or thirty, whichever is the lesser shall form a quorum. At all
General Meetings Special or Ordinary, each member of the Branch who would
be entitled to vote at a meeting of the Branch shall have one vote which
must be given personally, other than in the case of Election of Officers
and Committee Notice of Motion and Remits and Appointment of Proxy as
in Rule 9 Paragraph two. Voting shall except as provided in Rule
9 be a show of hands unless ten members present demand a secret
vote. The Chairman of a meeting shall in the event of a tie in matters
other than the election of officers and committee have a casting vote
as well as a deliberate vote. In the event of a tie in election, the
same shall be decided by lot.
11 NOTICE OF MEETINGS
Not less that fourteen clear days before any General Meeting, the Branch
Secretary shall send to every member of the Branch an agenda paper of
business to be transacted at the meeting and in the case of the Annual
General Meeting, a copy of the accounts of the Branch for the preceding
financial year. On requisition in writing signed by twenty five financial
members of the Branch being given to the Branch Secretary or on his/her
being directed to do so by the Branch Committee or by the Chairman, he/she
shall call a Special General Meeting.
Notices of Motions or resolutions to be proposed at any Annual or Special
Meeting must be received by the Branch Secretary at least twenty eight
clear days before such meeting.
12 THE COMMITTEE
The Committee of the Branch may appoint such sub committees as it deems
fit and may co opt any financial member of the Branch to a sub committee.
Sub committees may be given the power to act for the particular purpose
for which they are appointed.
13 GUESTS
No Branch member shall introduce as a guest a person who has been suspended,
required to resign, or expelled either from the Club, the Branch, or any
other Branch of the Club.
14 COMMON SEAL
The Branch shall have a Common Seal, which shall be kept in the custody
of the Branch Secretary and which shall only be affixed to any
document in pursuance of a resolution of the Branch Committee and in the
presence of the Chairman, the Branch Secretary and any one Committee Member.
15 AMENDMENTS TO RULES
These rules may only be amended by a decision of three-fourths majority
of financial members of the Branch present personally and voting at any
General Meeting of the Branch. Notice of Motion of all proposed amendments
must be given in writing under the signature of the proposer and seconder
who must be financial members of the Branch, twenty eight clear days before
any such meeting. Any such amendment/s shall take effect as from the
date the amendment/s is/are registered with the Registrar of Incorporated
Societies.
16 WINDING UP
If any General Meeting shall resolve that the Branch shall be wound up,
a further Special GeneralMeeting shall be called and be held not earlier
than thirty days after the date of the meeting at which the resolution
was passed to confirm or reject such resolution.
If such resolution shall be confirmed at such further meeting, the Branch
shall be wound up under the provisions of the Incorporated Societies Act
1908. If upon the winding up of the Branch there remains after the satisfaction
of all its debts and liabilities any property whatsoever, such property
shall not be paid to or distributed amongst the members of the Branch
but shall be donated as the Branch in General Meeting shall determine
to the Club, some other Branch or Branches of the Club, or some similar
organization.
17 BRANCH LEVY
In addition to the Annual Subscription payable by each Branch Member
to the Club, the Branch Committee may direct that Branch Members be levied
a further sum annually if required for the funding of the Branch’s normal
activities. A levy as determined by the Branch Committee is payable by
new members on joining the Club.
18 INDEMNITIES
The Branch Committee and any other officers of the Branch for the time
being shall be indemnified by the Branch against all disbursements, expenses,
liabilities and losses incurred by them in or about the discharge of their
duties except such as happen from their own wilful act or wilful default.
19 CLUB RULES
These Rules are to be read and construed subject to the provisions of
the Rules of the Club and in the event of any conflict between these Rules
and the Rules of the Club the provisions of the Rules of the Club shall
prevail.
